Welcome to NeverBounce RealTime, a HubSpot app developed by NeverBounce Inc. This terms of service agreement (“Agreement”) describes the terms and conditions under which you may access and use the NeverBounce RealTime HubSpot app (“App”) developed by NeverBounce Inc. (“NeverBounce,” “we,” or “us”). By using the App, you agree to be bound by this Agreement.

1. App Access

NeverBounce grants you a non-exclusive, non-transferable, limited right to access and use the App solely for your internal business purposes and in accordance with the terms of this Agreement.

2. Use of App

You may use the App only in accordance with the intended purpose of the App. You may not use the App to:

• Violate any applicable law, regulation, or third-party right
• Transmit any harmful or malicious code, files, or content
• Access or use the App for any competitive or commercial purpose
• Attempt to interfere with the proper functioning of the App
• Use the App to send spam or unsolicited emails

3. Payment

The use of the App may require payment of fees. NeverBounce reserves the right to change the fees or introduce new fees at any time upon notice to you. If you do not agree to the new or modified fees, you may terminate this Agreement and cease using the App.

4. Intellectual Property

The App and all intellectual property rights related to the App are owned by NeverBounce or its licensors. You may not copy, modify, distribute, or reverse engineer the App or any part thereof.

5. Privacy

NeverBounce collects and processes personal data in accordance with its Privacy Policy. By using the App, you agree to the collection, use, and sharing of personal data as described in the Privacy Policy.

6. Disclaimer of Warranties

NeverBounce makes no representations or warranties regarding the App, including without limitation the accuracy, completeness, or reliability of any results obtained through the use of the App. The App is provided “as is” and “as available” without warranty of any kind, whether express or implied.

7. Limitation of Liability

To the maximum extent permitted by law, NeverBounce will not be liable for any direct, indirect, incidental, special, or consequential damages arising from the use or inability to use the App or any content therein.

8. Termination

NeverBounce may terminate this Agreement and your access to the App at any time without notice, for any reason or no reason.

9. Miscellaneous

This Agreement constitutes the entire agreement between you and NeverBounce regarding the App and supersedes all prior or contemporaneous agreements or understandings, whether written or oral. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflicts of laws provisions. Any disputes arising from or related to this Agreement or the App shall be resolved exclusively in the state or federal courts located in the State of Delaware. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. NeverBounce may assign this Agreement at any time without notice to you.

By using the NeverBounce RealTime HubSpot app, you acknowledge that you have read and understood this Terms of Service agreement and agree to be bound by its terms and conditions.
